Introduction


2007 CBSSports.com Fantasy Basketball
Welcome to 2007 CBSSports.com Fantasy Basketball (the "Contest"), where you can start your own 12-team Head-to-Head or Rotisserie Fantasy league, or join an existing one. No matter what your skill level, we'll have plenty of leagues to choose from. Most leagues include one sentence describing the type of player the league is looking to recruit (e.g., "experts," "beginners," "Heat fans," etc.) so you should have no trouble finding the right league for you. The rules for Fantasy Basketball are explained fully in these Official Rules. If you'd rather make your own rules than play by ours, check out CBSSports.com's Basketball Commissioner stats service.

The Commissioner
The Commissioner of a Fantasy Basketball league is traditionally the individual responsible for coordinating and managing the league including, without limitation, setting the rules. CBS Interactive ("CBSII") will serve as the commissioner for all CBSSports.com Fantasy Basketball leagues and will be responsible for resolving any disputes that arise, such as trades or rules violations or any other matters that may come up in connection with the Contest.


Leagues


Signing Up
You may sign up to play the Contest after the start of the NBA season; however the deadline to sign up will be no later than 11:59:59 PM ET on 3/4/2008. Fantasy Basketball Free is FREE to play. There is no cost to play or win. Gold level costs $29.95 (US dollars) per team for the first team and $24.95 (US dollars) per team for each additional team. Platinum level costs $99.95 (US dollars) per team for the first team and $79.95 (US dollars) per team for each additional team. Diamond level costs $249.95 (US dollars) per team for the first team and $199.95 per team for each additional team (US dollars). (Prizes available in connection with the foregoing levels are outlined in "Prizes" section below).

NOTE: Any additional team purchases may NOT be used in a league where you already have a team. If you have multiple teams, each team must be in a different league.

Eligibility

* CBSSports.com Fantasy Basketball Free is open to: (a) Registered Users; (b) legal residents of one (1) of the fifty (50) United States, Washington DC and Canada (excluding Quebec) (for purposes of clarity, Puerto Rico is expressly excluded); and (c) at least eighteen (18) years of age or the age of majority in their state of residence at the date of registration in the Contest.

* CBSSports.com Fantasy Basketball Gold is open to: (a) Registered Users; (b) legal residents of one (1) of the fifty (50) United States, Washington DC, and Canada (excluding Quebec) (for purposes of clarity, Puerto Rico is expressly excluded); and (c) at least eighteen (18) years of age or the age of majority in their state of residence at the date of registration in the Contest. PLEASE NOTE: Notwithstanding the foregoing: (i) eligible legal residents of Canada (excluding Quebec), Arizona, Iowa, Louisiana, Maryland, Montana, and Vermont may play Fantasy Basketball Gold, but are not eligible to win any prizes; and (ii) in all events you must be eighteen (18) years of age or older (if the age of majority in a jurisdiction is over 18, you must be of the age of majority within your jurisdiction) in order to win any prizes.

* CBSSports.com Fantasy Basketball Platinum, and Diamond are open to: (a) Registered Users; (b) legal residents of one of the fifty (50) United States (excluding residents of Arizona, Iowa, Louisiana, Maryland, Montana, and Vermont) (for purposes of clarity, Puerto Rico is expressly excluded), and Washington D.C.; and (c) at least eighteen (18) years of age or the age of majority in their state of residence at the date of registration in the Contest.

For purposes of these Official Rules, "Registered User" means a person who has successfully completed the registration form and has obtained a User Identification ("User ID") and associated password ("Password") on one or more of the following CBSII Property Websites (the "CBS Interactive Property Websites"): CBS.com, CBSNews.com, CBSSports.com, CBSGames.com, ETonline.com, NCAAsports.com, theinsideronline.com, NFL.com, and/or SuperBowl.com. If you are not a Registered User, you may become a Registered User and obtain a User ID and a Password by completing the CBS Sports Service registration form by going here on the CBS Sports Service. There is no fee or charge to you to become a Registered User.

*All CBSSports.com Fantasy Basketball games are subject to complete applicable Official Rules. Void where prohibited by law.

Employees of CBS Interactive Inc. and CBS Broadcasting Inc. (collectively, the "Contest Entities") and each of their parent companies, affiliates, subsidiaries, advertising, promotion and fulfillment agencies and members of the immediate family or household of each are not eligible to win. Immediate family member is defined as a parent, sibling or any person residing in the same household as an employee of the Contest Entities. Void where prohibited. Such excluded employees and/or family members may play, but WILL NOT be eligible to receive the prize.

Live Draft Leagues or Automated Draft Leagues
Your Fantasy Basketball team will acquire its players through a draft. CBSSports.com leagues can draft players in one of two ways: a Live Draft or an Automated Draft. During a Live Draft, all 12 league participants ("owners") log in to an on-line "draft room" at a scheduled time. Each owner, in draft order, has just 90 seconds to select an available NBA player for his or her team. This kind of draft is exciting but extremely fast-paced and recommended for experienced owners. See "Live Draft Instructions" section below.

If you are a beginner, or are unable to schedule a block of two to four hours for a live draft, you may prefer to participate in an Automated Draft league. At your convenience you will simply arrange players, using Rank Lists provided by CBSII, in the order that you'd like those players selected for your team. The Automated Draft is then processed using your lists. The highest-ranked player on your lists who is available, and fits the roster needs of your team, will be selected for you during each round of the automated draft. See "Automated Draft Instructions" section below.

Private Leagues or Public Leagues
If you know all the owners who are going to be in your league, or you want to recruit individuals, you may want to join or create a Private league. The person who creates a Private league sets a password and other owners use that password to join the league. If you already know all of the owners in your league and want complete control of your league's rules, you should also check out the CBSSports.com Basketball Commissioner, our powerful and fully-customizable stats service.

Public Leagues are open to all eligible participants. If you create or join a Public league, you will have no control over who joins the league. Be sure to read the description of the league you want to join to make sure it is suitable for you.

Winners Leagues
If you played a CBSSports.com Fantasy league (excluding Commissioner leagues) in a previous year and won your league, you can play in an exclusive Winners League. To create or join a Winners League, you must use the same CBS Sports ID you used when you won your league.

League Joining Deadline
You will be able to sign up and join a league no later than 11:59 PM ET on 3/4/2008. All leagues are required to have 12 participants, or team "owners." For leagues that draft after 10/30/2007, your league's start date will begin with the next official scoring period. The last day of game play is 04/16/08.

Refund Policy
After you sign up for the Contest, you may receive a full refund of the purchase price up to 48 hours prior to your league's draft date. All other refund requests will be subject to the sole discretion of CBSII.


Draft


Live Draft Instructions
After you join or create a Live Draft league, you will have the opportunity to make changes to CBS Sports's default Rank List, which is a list of all NBA players that are eligible to be drafted, ranked from best to worst by our Fantasy experts.

It is recommended that, prior to your draft, you organize the Rank List according to your own player preferences. However, you are welcome to leave the Rank List in the order our experts have provided. During the live draft, CBS Sports will use your Rank List as a backup in case your time limit expires before you make a pick (explained below). If you decide to make changes to your Rank List, you will have until approximately 24 hours prior to your draft time to do so. At that time, the Rank list will be closed and considered ready for the draft.

On draft day there will be a "Draft Room" link in the Message Center on your League Home page . the link is also available in the Draft Prep component of your League Home page. This link will allow entry into the draft room. During the Live Draft, each team will have 90 seconds to select an NBA player. The order of the draft will be randomly generated between midnight and 6:00 AM ET either the day of, or the day before the draft. If your league does not have 12 team owners on the morning of the draft, your league will be disbanded and each owner will have to join or create another league.

In the draft room, you will be able to place NBA players into a Draft Queue - which is simply a list of players, in order of priority, that you are interested in taking with your next draft pick. When it is your turn to pick, you will have 90 seconds to draft a player. If the 90 seconds pass and you have not manually selected a player, the player ranked highest in your Draft Queue will be automatically drafted. If the Draft Queue is empty, a pick will then be made from your Rank List. The draft order will "snake" at the end of each round, meaning that the team with the last pick in the current round will have the first pick in the next round.

Automated Draft Instructions
As with a Live Draft, after creating or joining an Automated Draft league, you will have the opportunity to rank all the eligible NBA players. However, in an Automated Draft you will organize 3 Rank Lists - one list for each Fantasy position: Center, Forward, and Guard. You will rank the players on each list in the order of your preference, with the player you'd most like to draft being #1 on a list, and so on.

You will assign these rank lists to each of the 13 rounds of your draft, based on the position you would like to draft in each round (ie, If you feel Guards represent the strongest position, then assign the Guard's rank list to the first round; if you feel Centers represent the next strongest position, assign the Center's rank list to the second round, and so on.)

As in the Live Draft, you are not required to make changes to our rank lists. If you choose not to change them, our default lists, which reflect the rankings of our Fantasy experts, will be used. However, if you decide to organize the lists yourself, you will have up to 24 hours prior to your draft day to do so. When there are 24 hours left until your draft day, the rank lists will be closed and considered ready for the draft.

On the morning of the scheduled draft day, an Automated Draft will be conducted. Players will automatically be drafted for you using your Rank Lists. An e-mail will be sent to each owner after the draft has been completed.

Please refer to the table below (each number in the table refers to each team's draft position for that round) for the draft order for the full 13 rounds of the draft. You'll see that the order staggers each round of the draft (Team #1 has the first pick in round 1; Team #6 has the first pick in round 2, etc.) so that each team will have the opportunity to draft 1st in a round at least once.

Waiver priority immediately after the draft will be the reverse order of the first round of the draft. So Team #12 will have the highest waiver priority and Team #1 the lowest waiver priority.

Teams


Teams Overview
Each CBSSports.com Fantasy Basketball league will consist of 12 teams. Head-to-head leagues will be divided into three divisions of four teams each. The divisions will be called: East, Central, and West.

Each team will consist of 13 NBA players. Out of the 13 players on each Fantasy team, each owner will select a starting lineup each week. The chart below lists the required number of players at each position for the "starting lineup," the "draft," and the "overall roster."

Please note that, throughout the season, your overall roster is not restricted to a specific number of players at each position. Once the draft is over, you can carry, in reserve, as many or as few players at each position as you like, as long as your starting lineup requirements are met, and your overall roster does not exceed 13 players. During the draft, players are drafted at the position they are listed under in our database, regardless of whether that player plays multiple positions.


Head-to-Head Scoring


Point Values
Each week your team will compete against another team in your league in a head-to-head matchup. During a game, each of the players in your starting lineup ("active players") for that week will earn points based on actual statistics from NBA games. The charts below list the statistics and their point values.

Each NBA player's points will be averaged based on the number of games he played during the weekly scoring period. For example, if Dwyane Wade scores 90 fantasy points in 3 games during the Monday-Sunday period, 30 points will be contributed to the team score.

Wins & Losses
For each head-to-head matchup, the team with the greater number of points will earn a Win and the team with the lesser number a Loss. During the regular season, if two teams have the same number of points, each team will get a Tie. During the playoffs, there are no ties, and the team with the highest number of points scored by its "reserve" (bench) players in that playoff game will be the winner. If this doesn't break the tie, then the team with the higher playoff seed will earn the Win.

Statistics Corrections
Following the completion of each week's games, all statistics and point totals are verified, and corrections are made where necessary. However, all statistics and point totals for the week are considered FINAL as of Wednesday. If a stat correction is announced for the previous weekend's games on Wednesday or later, it will not be included in our statistics and your official Fantasy scoring will be based on the original statistic.


Schedule & Playoffs (for HEAD-TO-HEAD leagues only)


Regular Season
The NBA season runs from Tuesday, October 30, 2007 through Wednesday, April 16, 2008. The Fantasy Basketball game will begin on opening day, October 30, 2007. Each Monday through Sunday period represents a scoring period for CBSSports.com Fantasy Basketball (the season begins on a Tuesday, so the first week's scoring period will run Tuesday 10/30/07 through the following Sunday 11/4/07). During the first 22 weeks of the Fantasy Basketball season, each team will play each team in their division three times. The remaining 13 games will be against non-divisional opponents.

When the draft is complete, you can see your team's specific schedule by selecting Schedule from the toolbar.

Playoffs
When the 22-game regular season ends, 4 teams from the league will make the playoffs: the 3 division leaders (the team with the best win/loss record in each division) and a wildcard team, which is the team with the best win/loss record in the league, excluding the 3 division leaders.

The division leader with the best record going into the playoffs will be the #1 seed, and the #1 seed will play the wildcard (seed #4) in the first playoff match in NBA Week 23. The other division leaders will be seeded #2 and #3, and will also face each other in week 23.

If there is a tie for a division lead, the following tie-breakers* will be used.

Rotisserie Scoring


Categories
In our Rotisserie scoring system, each team will be ranked against the other 11 teams in 8 different categories. The team with the highest rank in a category will receive 12 points (based on the number of teams) for that category, the second best 11, and so on. The team with the lowest rank in a category will receive 1 point for that category. The sum of the points for each category will determine a team's score. The following categories will be used:

There will be no tie-breaker to determine Rotisserie league champions. In the event of a tie for first place, the tied teams will evenly split any prizes (Gold, Platinum and Diamond leagues only) for which they are eligible.


Lineup Changes


Weekly Lineups
Each week, owners have the opportunity to select their starting lineup for the coming week. If an owner doesn't set a lineup before the weekly lineup deadline (explained in the "Deadline to Change Status" section below), the owner's lineup from the previous week will be used. In head-to-head leagues, any team with an illegal lineup will receive 0 points for that scoring period. For a rotisserie league, a team will receive no credit for statistics in any week it has an illegal lineup.

Deadline to Change Status
The deadline for setting your weekly lineup is 30 minutes before the start of the first game of the scoring period. The scoring period for CBSSports.com Fantasy Basketball runs from Monday to Sunday (except week 1, as noted earlier). Once the lineup is set for the week, it cannot be changed.


Adding and Dropping Players


Free Agents
Throughout the season you may want to improve your roster by adding available free agents and dropping players that aren't performing up to your expectations. You can submit a free agent request at any time. With only two exceptions, there are no limits to the number of Add/Drops you can request, nor are there any transaction fees.

1. The first exception is when an owner drops his entire team or a significant number of players, also known as "team dropping". Team dropping has a negative impact on the league and as such, any owner who elects to drop his team shall be subject to immediate removal from the league. Players selected from waivers or added from free agency that were part of a team drop may be reversed at our discretion. In such move reversals, the waiver ranks will not be reset. CBSSports.com's Fantasy Basketball uses weekly lineups, so any changes made may go into effect for the following week's games.

2. The second exception is abuse of the waivers process. This is when a team owner adds then drops a series of players, putting those players on waivers and making them inaccessible to other team owners. Such an action could result in forfeiture of points as well as that team owner being blocked from making any additional add/drops for the remainder of the season.

If either of these situations occur within your league, please contact CBSII through the Help Center as soon as possible.

Waivers
To provide an equal opportunity for all owners to add players to their roster, a waivers process is implemented. Requests for players who are on Waivers are not executed immediately, but are put in a pending status. This allows multiple teams to request the same players. Each night between midnight and 9AM ET, CBSII will process all of the pending requests. The order in which these requests are processed is based on the Waiver Rank of each team.

Any player who is dropped from a team during an add/drop transaction is considered to be on waivers until one waivers process is completed without that player being claimed. At that point, the player is considered a free agent, and is available on a first-come, first-served basis. All players who are not drafted will also be placed on waivers once your draft ends.

Waiver Rank
During the waiver process, pending transactions are processed in an order determined by each team's waiver rank. The team with a waiver rank of 1, considered the highest, will get its first requested player. After the transaction is executed, the team's waiver rank is then set to 12 (last), and all other teams move up one spot.

If a team's highest pending transaction becomes invalid because another team received the requested player, that transaction gets deleted and the team's next pending transaction, if one exists, becomes that team's highest. If a team doesn't have any pending transactions because all players requested were taken by other teams, or the owner simply didn't request any players, there isn't any penalty and the Waiver Rank will not be changed.

The initial waiver rank will be the reverse order of the draft. The first waivers process will run the second evening after a league drafts.

Undroppable Players
To maintain the integrity of your league, you will be prevented from dropping certain star NBA players throughout the season. CBSSports.com, as commissioner of all Fantasy Basketball leagues, will decide - in its sole discretion - which NBA players are undroppable. If there are players we've deemed undroppable on your roster, they will not be displayed on the Add/Drop page for your team. You may appeal to CBSSports.com for permission to drop an undroppable player; however CBSSports.com will make the final decision on all undroppable player requests. Appeals can be sent via the Help Center and should include the names of the players you want to add and drop.


Trades


Trade Deadline
hroughout the season, owners can trade players with other teams. In an effort to keep the integrity of the league, a deadline for trades will be imposed at 11:59 PM ET Wednesday 2/27/2008. No trades will be allowed after that time.

Trade Approvals
In an effort to prevent collusion among owners, and to ensure fair competition, a trade approval process is used. After two owners agree to a trade, the trade will be put in a pending status for at least 24 hours. If four owners in your league object to the trade within the pending time period, the trade will not be executed, but will go to the Commissioner for evaluation. Example: a trade made at 5:00:00 PM Tuesday will not execute at 5:00:00 PM Wednesday, but between midnight and 6:00:00 AM ET Thursday, assuming four owners do not object before then.

All trades must be made (i.e., accepted by both parties involved) prior to 11:59 PM ET each Saturday night to be effective for the following week. However, trades in which 4 or more owners object are then subject to Commissioner approval, and may NOT be effective for the upcoming period. Please always check your team Monday morning.

If you make a trade offer, be sure to monitor the status of that offer (on the My Team, Trade page) as the weekly lineup deadline approaches, to ensure that acceptance of that trade does not cause your team to have an illegal lineup for the current week's games.

Multi-player Trades
Owners can enter unbalanced multi-player trades such as a 3 player for 1 player trade. A trade that results in an illegal roster will be allowed; however, you will be required to enter the necessary transactions to correct your roster before your lineup is due for the coming week. If your roster is not legal by the weekly deadline, you will receive zero points for that particular week.


Sportsmanship

General Sportsmanship
By participating, you agree to abide by the general sportsmanship rules set forth in these rules and fantasy games in general. You further agree to accept and abide by the rulings and the decisions of CBSII regarding all questions of sportsmanship. If an owner does not comply with the sportsmanship rules as defined in these official rules, or CBSII determines (in CBSII's sole discretion) that an owner has acted in an unsportsmanlike manner, CBSII reserves the right to disqualify the owner and/or remove that owner from the league. All decisions by CBSII in sportsmanship and related matters will be final.

Multiple Teams
In order to keep the leagues as competitive as possible, owners will only be allowed to have one team in a league.

Collusion
CBSII does not permit two or more owners in the same league to work together to better one team at the expense of the other (for example, making one-sided trades, one team dropping highly-rated players so the other team can pick them up, etc.).

Inappropriate League Communication
The Fantasy and League Message Boards, League News area, League Email Address and Chat Room are available for you to communicate with other league owners. We ask that you refrain from posting or sending messages that could be construed as offensive to other owners. Inappropriate communication can also include spamming other league team owners with trade offers and posting multiple messages on the message board. If a team owner is unable to abide by the guidelines specified in the CBS Interactive Terms of Use, CBSII reserves the right to terminate that team owner's ability to communicate within the league and/or disqualify that person from participating in any Fantasy Basketball league.


Prizes


League Champion Prize
Free League Grand Prize
The first-place finisher in each Free league will be entered into a random drawing to determine the overall Grand Prize winner. The One (1) Grand Prize Winner will receive a 2009 NBA All-Star Weekend prize pack to include:

  • Roundtrip airfare for two (2) to/from the NBA All-Star Weekend Host City (City TBD), from a major airport closest to the winner's home.
  • Three (3) night stay (based on double occupancy).
  • Two (2) tickets to the 2009 NBA All-Star game. Access to events throughout the 2009 NBA All-Star weekend, one select NBA league function, and NBA Jam Session.
Approximate Retail Value ("ARV") of the Prize: Five thousand US dollars ($5,000.00).

The first-place finisher in each Gold league will win $150 US dollars.
The first-place finisher in each Platinum league will win $600 US dollars.
The first-place finisher in each Diamond league will win $1,600 US dollars.

Prize Notification
Prize winners in each Gold, Platinum, and Diamond League will be posted on each league's League Home page within 30 days of the end of the NBA season. If you qualify for a prize, we will notify you via an alert box on your league's homepage with a link to an Affidavit of Eligibility and Publicity/Liability Release.

The winner of the overall Grand Prize will be notified by email or telephone within 30 days of the end of the NBA season.

Potential winners will be required to sign and return, within thirty (30) days of issuance, the Affidavit of Eligibility and Publicity (unless prohibited by law)/Liability Release. Failure to return such documents within the specified time period, noncompliance with these Official Rules, the return of any prizes or prize notifications or if any potential winners declines a prize for any reason, prizes may be awarded to the entrant with the next highest score or via another random drawing (as applicable).

Travel Companion Liability Release and Travel Companion Publicity Release. If the Prize consists of a trip with one (1) or more travel companions, each travel companion must complete, execute and return a Travel Companion Liability Release, and where lawful, a Travel Companion Publicity Release (collectively, the "Travel Companion Release Forms") prior to issuance of travel documents. Failure to return Travel Companion Release Forms timely may prevent one (1) or more of the travel companions, as applicable, from participating in the trip.

Publicity Release Terms. Except where prohibited by law, the Prize Winner's acceptance of the Prize constitutes permission for the Contest Entities to use Prize Winner's name, photograph, likeness, statements, biographical information, voice, and address (city and state) worldwide and in all forms of media, in perpetuity, without further compensation. Entrants agree to CBSII's use of their names and likeness for advertising and publicity purposes, without additional compensation, unless prohibited by law.

Prize Restrictions
Actual value of trip may vary based on point of departure and dates of travel. Certain travel restrictions may apply. If Grand Prize Winner resides within a 100 mile radius of host city, ground transportation may be provided in lieu of air transportation and no compensation or substitution will be provided for difference in prize value. Grand Prize Winner and guest will be required to travel together on the same itinerary and are responsible for obtaining all required travel documents required to visit a foreign country, if applicable. Grand Prize Winner and guest must be available to travel on dates specified. In the event that the 2009 NBA All Star game, the access to events NBA league function, and/or the NBA Jam is cancelled or postponed, the trip will be awarded minus the tickets and experiences.

The guest must be eighteen (18) years of age (or, in the case of legal residents of certain states or Washington DC where the age of majority is greater than eighteen (18) years of age, such age of majority) and will be required to execute and return liability/publicity (unless prohibited by law) releases prior to ticketing. No assignment, transfer, conversion to cash or cash redemption or substitution of the any prize is permitted, except CBSII reserves the right to substitute a Prize or any of its components with a prize of comparable or greater value should a prize or any of its components become unavailable. Prizes are solely for personal use and may not be used in conjunction with any other promotion.

Legal Disclaimers

All participants agree to abide by the terms of these Official Rules and the Legal Disclaimers below, and by the decisions of CBSII, which are final and binding on all matters pertaining to the game.

General Conditions
By entering, each entrant accepts and agrees to be bound by these rules and by the decisions of CBSII, which shall be final and binding in all respects. Further, each entrant also acknowledges and agrees to the CBS Interactive Terms of Use. Taxes, if any, are the sole responsibility of the prize winner(s). No substitution or transfer of prize(s) permitted except by CBSII. CBSII reserves the right to substitute a prize for one of equal or greater value in the event that an advertised prize is unavailable.

All federal, state, local, and provincial laws and regulations apply.

CBSII is not responsible for lost, late or misdirected on-line entries or transactions, for incorrect, inaccurate or incomplete entry information whether caused by a contestant, equipment, or technical malfunction or for any human error, technical error or malfunctions. CBSII reserves the right to halt or modify the Contest at any time during the Contest period if events beyond their control compromise the Contest's fairness or integrity. In the event that a scheduled game is canceled or preempted for any reason, no points will be awarded for that week for players on the affected NBA teams.

CBSII is not responsible for typographical or other human or technical errors in the offer or administration of this Contest, including but not limited to errors in advertising, the Official Rules, the selection and announcement of a winner or the distribution of a prize.

CBSII, in its sole discretion, may disqualify any entrant from participating in the Contest, refuse to award points or prizes, and require the return of a prize, if entrant engages in any conduct CBSII deems to be improper, unfair or otherwise adverse to the operation of the Contest or detrimental to other entrants. Such improper conduct includes, but is not limited to, falsifying personal information required during Contest registration or prize claim, violating any term or condition stated herein, accumulating points or prizes through methods such as automated computer scripts or other programming techniques, allowing others to use the entrant's personal information for the purpose of accumulating points or prizes, tampering with CBSII's administration of this promotion, or intentionally trying to defraud, reverse engineer, disassemble, decompile or otherwise tamper with the computer programs on this Web site. Entrant further acknowledges that the forfeiture of the prize and/or return of a prize shall in no way prevent CBSII from pursuing other avenues of recourse such as criminal or civil proceedings in connection with such conduct.

CBSII reserves the right to modify these rules for clarification purposes without materially affecting the terms and conditions of the Contest. This Contest is not affiliated with or endorsed by the NBA or any NBA team. This is a skill contest designed to increase consumer awareness of and interest in the CBS Sports Service.

This Contest may not be used for any form of gambling.

Internet
If for any reason the Internet portion of the program is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of CBSII which corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Contest, CBSII reserves the right, at its sole discretion, to disqualify any individual who tampers with the entry process, and to cancel, terminate, modify or suspend the Contest. In such event, CBSII further reserves the right to award prizes to the players with the most points as of the termination date and to award the Grand Prize via random drawing from all Free Fantasy Basketball players with the best record (tie breakers rules will apply) as of termination date.

CBSII assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries or transactions. CBSII is not responsible for any problems or technical malfunction of any telephone network or lines, computer on-line systems, servers, or providers, computer equipment, software, failure of any e-mail entry or transaction to be received on account of technical problems or traffic congestion on the Internet or at any Web site, or any combination thereof, including any injury or damage to participant's or any other person's computer related to or resulting from participation or downloading any materials in this Contest.

Lost or Corrupted Entries
The Contest Entities, and their parents, affiliated and subsidiary companies and advertising and promotion agencies, assume no liability and are not responsible for, and you hereby forever waive any rights to any claim in connection with, lost, late, incomplete, corrupted, stolen, misdirected, illegible or postage due entries or mail if applicable; or for any computer, telephone, cable, network, satellite, electronic or Internet hardware or software malfunctions, unauthorized human intervention, or the incorrect or inaccurate capture of entry or other information, or the failure to capture any such information. The Contest Entities, and their parents, affiliated and subsidiary companies, advertising and promotion agencies, are not responsible for any incorrect or inaccurate information, whether caused by registration information submitted by end users or tampering, hacking, or by any of the equipment or programming associated with or utilized in this Contest, and assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to the Contest.

Damaged Property

CAUTION: ANY ATTEMPT BY A CONTESTANT TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE GAME IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, CBSII. RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH CONTESTANT TO THE FULLEST EXTENT PERMITTED BY LAW.

In the event of a dispute, entries made by Internet will be declared made by the authorized account holder of the e-mail address submitted at time of entry. "Authorized account holder" is defined as the natural person who is assigned to an e-mail address by an Internet access provider, on-line service provider or other organization (e.g., business, educational institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address.

Any entry that is incomplete, late, or does not include a validly issued User ID will be disqualified.

Contest Errors
The Contest Entities, and their parents, affiliated and subsidiary companies and advertising and promotion agencies, assume no liability and are not responsible for, and you hereby forever waive any rights to any claim in connection with, errors and/or ambiguity: (a) in the Contest; (b) in any related advertising or promotions of this Contest; and/or (c) in these Official Rules including but not limited to errors in advertising, the Official Rules, the selection and announcement of a winner or the distribution of a prize. In the event of any ambiguity(s) or error(s) in these Official Rules, Administrators reserve the right to modify these Official Rules for clarification purposes or to correct any such ambiguity or error(s) without materially affecting the terms and conditions of the Contest.

Prize Winner and Prize
The Contest Entities, and their parents, affiliated and subsidiary companies and advertising and promotion agencies, assume no liability and are not responsible for, and you hereby forever waive any rights to any claim in connection with, the selection and announcement of a Prize Winner, the distribution of a Prize, the acceptance/possession and/or use/misuse of any part of a Prize and/or any injury or damage to any entrant's or third person's property related to or resulting from any part of a Prize or any part of this Contest.

Release and Indemnity
Each entrant in the Contest, including, without limitation, the prize winner, hereby releases and agrees to hold harmless the Contest Entities and their parents, affiliates, subsidiaries, advertising and promotion agencies and their respective directors, officers, employees, representatives and agents from any and all liability for any injuries, loss or damage of any kind to person, including death, and property, arising in whole or in part, directly or indirectly, from acceptance, possession, use or misuse of a prize, participation in this Contest and participation in any activity related to this Contest.

IN NO EVENT WILL THE CONTEST ENTITIES AND/OR THEIR PARENTS, AFFILIATES, SUBSIDIARIES AND RELATED COMPANIES, THEIR ADVERTISING OR PROMOTION AGENCIES OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES AND AGENTS, BE RESPONSIBLE OR LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND, INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF YOUR ACCESS TO AND USE OF THE SERVICE AND/OR THE CONTEST, DOWNLOADING FROM AND/OR PRINTING MATERIAL DOWNLOADED FROM THE SERVICE AND/OR THE CONTEST. IN NO EVENT SHALL CBSII'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION EXCEED $100. Arbitration
The parties waive all rights to trial in any action or proceeding instituted in connection with these Official Rules, including, without limitation, the Contest. Any controversy or claim arising out of or relating to these Official Rules and/or the Contest shall be settled by binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association. Any such controversy or claim shall be arbitrated on an individual basis, and shall not be consolidated in any arbitration with any claim or controversy of any other party. The arbitration shall be conducted in the State of New York, in the City of New York, County of New York.

Governing Law and Jurisdiction
THESE OFFICIAL RULES AND THE INTERPRETATION OF ITS TERMS SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE LAWS OF THE STATE OF NEW YORK WITHOUT REGARD TO ITS CONFLICTS OF LAWS RULES. For any matters which are not subject to arbitration as set forth in these Official Rules and/or in connection with the entering of any judgment on an arbitration award in connection with these Official Rules and/or the Contest, the parties irrevocably submit and consent to the exclusive jurisdiction and venue of the New York state and federal courts located in the City of New York, County of New York, and State of New York. The parties agree not to raise the defense of forum non conveniens.
